A clause in an agreement between a buyer and seller under which the seller agrees not to entertain bids from any other potential buyer. Because no-shop clauses conflict with the debtor/seller’s duty to maximize the bankruptcy estate’s value and obtain the highest price for its assets, they are disfavored in bankruptcy proceedings.
